Merchant Terms of Service
Effective Date: January 27, 2026
1. Account Terms
- 1.1 To access Services, you must register for a Bareconnect Account with your full legal name, business address, phone number, and email.
- 1.2 You are responsible for the accuracy of your User Information.
- 1.3 You authorize us to verify your identity and User Information, including accessing third-party databases (e.g., Registrar General's Department).
- 1.4 You must be at least 18 years old or the age of majority in your jurisdiction.
- 1.5 You confirm you are using Bareconnect for business purposes, not personal/household use.
- 1.6 You are responsible for keeping your password secure.
- 1.7 Upon purchasing a domain name, auto-renewal is preset; you are responsible for deactivation if desired.
2. Account Activation & Staff
- 2.1 The person signing up is the "Store Owner".
- 2.2 If signing up for an employer, the employer is the Store Owner.
- 2.3 You can create Staff Accounts based on your pricing plan. The Store Owner is responsible for all Staff Account actions.
3. Bareconnect Rights
- 3.1 We reserve the right to modify the Services at any time.
- 3.2 We may refuse or remove Materials that violate our AUP or Terms.
- 3.3 Abuse of Bareconnect employees results in immediate termination.
- 3.4 We may provide services to your competitors.
- 3.5 In ownership disputes, we reserve the right to request documentation (e.g., Business Registration Certificate) to determine the rightful owner.
4. Your Responsibilities
- 4.1 You must provide contact info, refund policy, and fulfillment timelines on your Store.
- 4.2 Bareconnect is not a marketplace; contracts of sale are directly between you and your customer. You are the seller of record.
- 4.3 You must comply with all laws (including Ghanaian consumer protection and tax laws).
- 4.4 You agree to use Bareconnect Checkout for sales associated with your online store.
- 4.5 Product Authorization: If you sell branded or trademarked goods, you represent that you are an authorized reseller. Bareconnect reserves the right to request valid reseller documentation, invoices, or authorization letters from the manufacturer. Failure to provide such documentation upon request may result in the removal of the products or suspension of your Account.
5. Payment of Fees and Taxes
- 5.1 You will pay Subscription Fees, Transaction Fees, and Additional Fees as applicable.
- 5.2 Fees are billed in advance (subscriptions) or deferred (transactions).
- 5.3 If payment fails, we may suspend access.
- 5.4 You are responsible for all applicable Taxes (e.g., VAT/NHIL/GetFund). If Bareconnect is required to charge these, they will be added to your fees.
- 5.6 Taxes and Tax Tools: You are responsible for determining, collecting, withholding, reporting, and remitting applicable taxes, duties, fees, surcharges, and additional charges that arise from or as a result of any sale on your Bareconnect Store or your use of the Services to the appropriate tax authorities (e.g., Ghana Revenue Authority - GRA). Bareconnect may, at its sole discretion, provide an internal tool to assist with tax calculations for a fee. If you choose to use this tool, you acknowledge that it is for convenience only. You remain solely responsible for the accuracy of your tax filings and remittances. Bareconnect does not guarantee the accuracy of such tools and assumes no liability for any tax penalties or errors.
5A. Chargebacks and Disputes
- 5A.1 You are solely responsible for chargebacks and reversals.
- 5A.2 We may facilitate dispute resolution but the final decision lies with the card network/issuer.
- 5A.3 Chargeback costs (reversal amount + processing fee + dispute fee) will be deducted from your settlement or wallet.
5B. Refunds and Reversals
5B.1 Bareconnect may initiate refunds or reversals for fraud, unresponsiveness, or failed KYC/AML verification.
6. Confidentiality
6.1 Both parties agree to protect each other's Confidential Information with reasonable care.

8. Wallet Services
- Role: The Wallet feature is a financial tool facilitated by Bareconnect in partnership with licensed financial service providers. Bareconnect may not be a bank; underlying services are provided by licensed partners.
- KYC: Access requires Tier 1 KYC verification (e.g., Ghana Card, TIN).
- Settlement: Payments settle on a T+1 basis (or as specified).
- Withdrawals: Subject to daily limits based on KYC tier.
- Compliance: You must comply with the Anti-Money Laundering Act, 2020 (Act 1044). We are obligated to report suspicious activity to the Financial Intelligence Centre (FIC).
9. Intellectual Property
- 8.1 You grant Bareconnect a license to use your Materials (products, images, etc.) to provide the Service.
- 8.2 We own Bareconnect intellectual property. You may not use our trademarks without permission.
10. Indemnification
You agree to indemnify Bareconnect against all losses arising from your breach of these Terms, violation of law, or disputes with your customers.
11. Governing Law
These Terms are governed by the laws of the Republic of Ghana. Disputes shall be resolved in the courts of Accra, Ghana.
